Executive Summary

JPHein will be assisting organizations to understand the relationship between technology, organizational systems and overall business satisfaction. In order to do this, JPHein commits to forming comprehensive relationships with its clients. Our services will include thorough evaluation, assessments and recommendations to meet our clients’ business goals. In the current business environment, with rapidly accelerating market and economic shifts, having the right information at the right time is essential to the health of your organization. JPHein will provide appropriate technology for timely data collection and rapid implementation of structural changes. We are dedicated to using Open Source Software in our projects for moral as well as economic reasons. Open Source Software allows for a superior software development process, where many programmers work together to create a product. Our use of OSS allows our clients top quality products while keeping their expenses low.

Purpose

The purpose of JPHein is to provide employees with a decent, fair and comfortable standard of living and to provide Jeffrey Hein with a comfortable income without requiring more than 20 hours of weekly work. JPHein will provide organizations with the tools and procedures required to create a comprehensive system for achieving stated goals.

2.Services

JPHein Consulting offers its clients a way to integrate all their data and services into an efficient, comprehensible, easy to access system. This will allow a business to manage information and work flow, publish this information, and ultimately have this information easier to access and create for potential and existing customers and employees.

This Project will be implemented in three steps: Evaluation & Assessment, Planning, and Implementation.

Evaluation & Assessment

This step includes gathering information about the client’s business, including the workings of their basic operations, their plans for growth, future goals and dreams, and financial basics.

Planning

Creating a complete plan that integrates all of the information gathered in the previous step with a concrete action plan. Ideally, this plan will be...

Implementation

Creating the system spelled out in the plan. Dealing with contractors in order to implement the technology in the office needed to run the system. Training employees in the system’s use and upkeep.

Specific Services

JPHein Consulting offers many services to our clients, most of which are optional depending on what the client’s business needs and how technologically savvy the owners are.

If the client is a private consultant or a small business owner without a network or high speed Internet, we offer a website and software package (project management, etc) in which the owner can keep track of his or her work and have easy access for his or her clients and employees. We will provide hosting.

We also provide boXen, for people with a network. They can self-host this way. See boXen details in Appendix.

Depending on the services the business would like, the amount of time an integrated system such as this will take varies from one week to two months. Whatever the customer decides, JPHein Consulting will strive to work within the set time frame and create the best system in the least amount of time possible.

Sales Literature

  • Logo and Theme: hired a contractor, Cassandra Lee Clark, to design. She has created the logo and business card.
  • Stationary: design already made, will print.
  • Web Presence: a complete website will be integral to the business. jphein.com. Some development has already been done, Joomla. Project Manager, Client Access.
  • Brochure: Will enlist Ms. Clark on the brochure.
  • Client Questionnaire: information gathering tool for the initial assessment stage.
  • Contract: Lays out the terms of the work contract with the client
  • Information Checklist: List of all the papers and forms needed from the client before system is developed.

Fulfillment

The fulfillment of services for JPHein Consulting is provided by the owner. The ultimate deliverable is the owner’s expertise and problem solving ability, coupled with an open mind and ease of communication that will result in the customer’s complete confidence in immediate and lasting results.

Technology

Technology is, of course, vital to the success of JPHein Consulting. It is imperative that the owner stay up-to-date on the latest technological developments in the computer industry. In addition, it will be important to devote a reasonable portion of each year’s revenues toward upgrading the equipment and software used by JPHC in its normal operations. JPHein Consulting is dedicated to using Open Source Software wherever possible, for moral as well as economic reasons.

Facility Assessment

The business currently has a home office with a computer, telephone, answering machine, scanner, printer, filing cabinet and DSL. Currently this is sufficient for the work JPHein Consulting will be doing.

We will rent an office and lease equipment once this is necessary due to business expansion.

RESEARCH

Target Market Analysis

Ideal clients would be engineering businesses with more than three employees. The ones most in need of our help would probably be businesses with redundant or disorganized systems, many clients and employees, lots of data and a complicated work flow. These companies would necessarily have access to the Internet on a continuous basis, and have employees that would be willing to learn a new data system; namely the system that JPHein Consulting creates for the client.

Positioning Statement

JPHein Consulting will organize your business in such a way that you will be in control of an efficient, easy-to-run business. If you are having problems with redundant and disorganized data, if your clients or employees aren’t getting the information they need, our company can solve these problems. With our integrated plan, we will cut down on your stress and confusion and allow you to run your business peacefully and well. JPHein Consulting is unique in that we don’t simply look at a particular technological problem your company is having and solve it in some esoteric way. We sit down with you, and get everyone in your company involved in clarifying your vision and creating an integrated system that works for your particular business. Ongoing service development plans How we create and deliver service

  1. Contact with the client. A client will call, email, or put in a request on-line requesting a demo of our services.
  2. Put the client information into our database (or import it via a program) and then contact the client and schedule a meeting within 24 business hours.
  3. Give the client THE DEMO. If it is in person, steps will be as follows: Demo people must remember to dress nicely and bring: a laptop, a projector and screen, and marketing materials including brochures, flyers and business cards. Note also that before the Demo, the Demonstrator should do a little research on the company they are going to. Meet the client, set up our demo site and walk through it with the client. This includes joomla, dotproject, and all the options including “The Box” (this should have a name). Use the provided Demo Script. Ask Client if they have any questions Offer to go over quote form with client Give client business cards, etc. If, alternatively, the demo is by phone, we must use the phone script and make sure they have high-speed internet and walk them through the site that way.
  4. After the demo, client will fill out our quote form either in the Demo or online.
  5. The Sales Manager will make sure that the quote information is in dotproject, and link the quote to a company/project if necessary.
  6. Service Manager will get estimates from independent Contractors and put these estimates into a quote. They will then send the quote to the Client.
  7. Once the Client sends back the approved quote (Note that this quote may be revised several times) we create a contract which we fill out according to what we agreed upon in the quote and send it to the Client. At this point we also must assess how many independent contractors we will need, and send the Client contracts to sign that deal with these independent contractors.
  8. Get contract[s] from the client, signed and with a 30% deposit.
  9. Put the contract into the database, mark deposit paid.
  10. Schedule a meeting with a client in which the Service Manager assesses the business and collects relevant information. At this point we discuss how the client wants their package customized, and iron out details like their domain name and how they want to host.
  11. Do The Work Get the Client’s Domain Name If they want Boxen, hire an IT guy to check their Internet connection, setup, etc. If they don’t want Boxen, set up hosting with a hosting company (Siteground?)Customize the Client’s joomla/dotproject setup with the modules and features they requested. If the client wants Template Customization, hire Cassandra Clark to do this. Hire other necessary independent contractors that do specific things the client wants, for Data Merging and Data Entry. Make sure that all workers are using the database to log hours, keep track of tasks, etc.
  12. Schedule an implementation day in which we set everything up in their office, etc.
  13. Training Train whomever the client wants us to train (at least 2 people). Train them on: Joomla admin/editors/modules/joomla community), dotProject (modules, forum and community), Boxen, Resources Potential Help), Maintenance Options.
  14. Billing Print out invoice, send to client, set status to pending.
  15. Follow-ups Have certain time periods in which we make follow-up calls to the client. When a project is over, we set dates in the database and assign people to make calls to clients.

  1. Sales Manager:
    • Recieve contact from client– check email, answer phone, etc.
    • Read script to client.
    • Check in Database for Client. If they are not there, add them. If they are there, update their entry.
    • Send the Questionnaire or go over it with client.
    • Schedule a meeting with client and Service Manager in the Internal Calendar.
  2. Service Manager:
    • Look at calender regularly for meetings scheduled.
    • Confirm meetings by calling/emailing client on the day of the meeting.
    • Use information checklist to get the relevant information from client.
    • Gather any extra information the client wants to include in the system.
  3. Service Manager
    • Analyze the data.
    • Come up with how it all fits together, and write up a plan which says all the tasks which need to be completed.
    • Also write up a contract.
    • Also come up with an estimate of cost.
    • Schedule a presentation with the client and show them what the company has come up with.
    • Keep status of project updated in database.
  4. Service Manager
    • Once the client has confirmed an action plan, portion the work out to various workers and subcontractors.
  5. Service Manager
    • Oversees the work, make sure everything gets done in a timely fashion. Keeps Database updated.
  6. Personnel Manager
    • Hire specialists ( IT contractors, data migration and hosting as necessary).
  7. Service Manager
    • Schedules a day to implement the work, notes it in calender.

    • Schedules and executes a training for the client company for the new system.

    • Bills the client and makes sure it is paid. Use database for this.

Management

JPHein Consulting will have a core group of employees, but will also team up with different companies and independent contractors to get specific tasks implemented.

Employees: The employees will be on the payroll, and be paid an hourly wage according to their position. No benefits will be provided, at least initially.

Companies: JPHein Consulting will partner with Siteground.com for hosting services.

Sub-Contractors: Subcontractors will include Clientworks and Visionpcservices.

Contingencies

JPHein Consulting will be prepared to face any contingencies that crop up. What change will create the greatest impact? –For economic or social changes? No matter the economic or social changes, there will always be a need for information management, unless all information disappears. Then we will change the company to create information as well as manage it. –If interest rates go up? The company will not be borrowing any money, so this point is moot. –If demand gets high? We will expand the company, hire more employees. Our infrastructure will stay the same, however, because the company has been designed with expansion in mind.

JPHein Consulting is based in Grass Valley, California, in the foothills of the Sierra Nevada Mountains. We work under the assumption that owners of small businesses should understand and be in full control of every step that they take.

Owners Jeffrey and Shawna Hein are twins born and raised in Nevada County, the children of two successful small business owners. Shawna holds a BA in Computer Science from Oberlin College. Jeffrey has been working on independent computer projects for most of his life, and sees JPHein as an organic end result of his efforts to design sensible, user-friendly systems.

This document is a legal binding contract between herein referred to as the “Client,” and JPHein Consulting, herein referred to as the “Designer.” This contract defines the “Site” to be made by the Designer for the Client. This Site will include all modules and features as requested in quote request form. The “Design Site” fee includes installation on either box or host and installation of requested modules and features The total “Design Site” fee amount to be paid by the Client to the Designer for the Site as described by this contract is: $_. Additional Services Not included in the “Design Site” Fee Both Client and Designer agree that Site hosting, domain name rights and acquisition, and any other fees not outlined in the above listing will be independently assessed and detailed as follows: a) Domain Registration: Initial domain name acquisition shall be performed by the Designer as specified below in the preferred domain name listing below. This listing shall be presented and listed in this contract in the order of the Client’s preference. The first available domain name in order of Client’s preference shall be registered to the Client. The fee for this service is $300. The responsibility of maintaining rights and all fees of a domain name applicable in the future are the full responsibility of the Client. The Designer is in no way liable for any damages incurred if such a loss of rights or additional fees are assessed. In the event that none of the listed preferred domain names might be purchased then the $300 fee for domain registration will be refunded or an alternate domain designated and approved by the Client shall be purchased. b) Hosting Services: The Client may purchase an all-in-one network appliance from the Designer. This will allow the Client to host their own site within their office, providing the Client with full network services. Alternatively, hosting services with an Internet service provider may be arranged by the Designer at the Client’s request for an additional fee based upon the hosting resources requested by

  the Client. Hosting arrangements will be made in the Client’s name and are the full financial
responsibility of the Client. Recurring fees assessed by the hosting service or Internet service
provider are the full financial responsibility of the Client. The Designer’s fee for arranging hosting
service shall be $200 in addition to the fee assessed by the hosting service for hosting account
setup and ongoing service fees. An estimate of fees for hosting service as outlined by the Client
shall be presented to the Client for approval before hosting service is initiated. At the time of the
Client’s acceptance of the hosting service fee agreement the Client shall pay in full the amount of
the hosting service fee estimate plus the additional Designer setup fee of $300. After hosting
service is then initiated the Designer shall present a receipt for hosting service fees to the Client. At
that time the Client will immediately pay to the Designer any additional fees assessed by the
hosting service that may not have been included in the initial hosting service estimate. The
Designer is in no way liable for additional fees that the hosting service may assess beyond the
original hosting service estimate.

d) Training: The Designer will provide training for the entry and maintenance of the final project. e) Data Merging: Client may request a data merge, in which the Designer will transfer old data into their new system. f) Data Entry: Client may request data-entry services in order to upload the content of their website. g) IT Consulting h) Template customization c) System Maintenance: Client may request Site maintenance services at any time, although ideally this will not be necessary. Site maintenance services shall include and be limited to the following services:

       1. A maximum of four hours of work for the purposes of updating the content of the Site. Said
four hours work to include liasing with Marketing / Advertising Agencies on the Client’s behalf
and with the Internet hosting provider for the purpose of setting up links to other sites or any
other business performed at the expressed or implied consent of the Client. The Client in
accordance with the terms set out below will discharge any charges arising as a result of
additional time expended by the Designer in updating the site. A monthly maintenance fee in
the amount of $100 will be billed to the Client for this service. Additional time beyond the first
4 hours per month spent on updating the Site as requested by the Client will be billed to the
Client at the rate of $50 per hour.

Payment and Posting The Client will pay 30% of total “Design Site” price upon signing of this contract. The Designer’s delivery of the Site files into the Client’s server space and Client testing and trouble-shooting of all links within the Site will constitute delivery of the website. Upon Site delivery the Client will immediately pay the remaining 70% of the total Site.

Ownership Until Payment in Full The Designer retains full ownership of intellectual property and copyright on all material contained within the Site except that material that was directly contributed by the Client until such time as the total Site price and any other financial obligations are paid in full to the Designer. After full payment is made the Client then receives license to use any Designer work. The Designer retains all copyright of all Designer work on the Site but may agree to additional licensing of Designer work for additional compensation. This agreement must be made in writing and signed by both parties in agreement and included as an addendum of this contract.

Late Payment Late payment penalties are as follows: Payments that are over 30 days past due will result in a .30% penalty charge of the total amount still remaining due with an additional 30% fee assessed each additional month the account is not paid in full. If payments are more than 90 days past due it is agreed that this contract is in default. All costs incurred by the Designer in retaining payment and said penalty charges for amounts over 90 days past due, will owed by the Client to the Designer.

Late Posting Late posting is defined as; pages that are put on the Internet after the agreed upon dates as defined above. Late positing* of the corresponding pages by the agreed schedule will result in the following: Pages that are over 30 days past due will result in a .03% reduction in the total cost of the Site. Pages that are over 60 days past due will result in an additional reduction of .05% of the total cost of the remaining pages still due. If pages are more than 90 days past due it is agreed that the Client will not have to pay the Designer for the pages that are more than 90 days past due and may terminate the contract if desired. (*Late posting does not apply to postings that are late due to host-side technical problems. The hosting company is a separate company that stores the web site (pages) on their system so that the web site can be viewed on the Internet. The client will be required to sign up with a hosting company at the completion of the web site in order for the site to be on the Internet. Hosting is necessary for all web sites on the Internet. The Designer upon request of the Client may make such arrangements. Such a request must be included in this contract to be considered valid. Additional fees will be assessed for this service and will be listed along with other fees and requirements in this contract.)

Additional Site Changes Any changes the Client wants made to the Site beyond what is defined in this contract will result in additional charges as follows: All changes to the Site not defined in this contract will be charged at the rate of $80.00 per hour. The time required to implement changes will be determined by the Designer and discussed with the Client prior implementation.

                                              

Exposition of Design Work The Client agrees that the Designer may put a link from the Designer’s site to the Client’s Site as long as work created by the Designer appears on the Client’s Site. The Client agrees that any work defined in this contract that is work created by the Designer is only for usage on the Site as defined by the URL in this contract. It is agreed that the Client may not modify any work created by the Designer without prior consent from the Designer. Additional licensing of Copyrighted work for use of the Designer’s work may be purchased upon request.

Third Party Contracts The Designer is authorized to enter into contracts with third parties to carry out the purposes of this agreement, and the Designer shall be primarily liable to those parties for payment due hereunder. The Designer shall exert a good faith effort to prevent any loss to the Client resulting from failure of proper performance by those third parties, but the Designer shall not be liable to the Client by reason of any default of those third parties or other parties who are not the Designer’s employees.

Termination of Contract Either the Designer or Client may terminate this contract by giving written notice to the other party. If notice of termination is given by the Client, the Designer shall not commence new work, but shall complete any work previously, approved by the Client and the Client shall be responsible for and shall pay within 30 days of invoice all fees for such work and for any third-party obligations incurred by the Designer on the Client’s behalf prior to termination. If notice of termination is given by the Designer, the Client shall have the option of electing to have the Designer complete any work previously approved by the Client and the Client shall be responsible for and shall pay within 30 days of invoice all fees for any work completed by the Designer for the Client and for any third-party obligations incurred by the Designer on the Client’s behalf prior to termination. There will be no refund to the client of any money paid to the Designer unless the request for refund is made with registered letter within 30 days of the this contract is signed. If, at the time of the request for refund, work has been completed beyond the amount covered by the initial payment, the client shall be liable to pay for all work completed at the hourly rate stated in the “Additional Site Changes” section of this contract. If, at the time of the request for refund, work has been completed that does not total the initial payment amount then a refund will be issued to the Client for the full amount of the initial payment with the amount due the Designer for work completed subtracted from the full amount of initial payment.

Modification of Contract This contract shall not be modified unless done in writing and signed by both the respective Client and Designer. The failure of either the Designer or the Client to object to or take affirmative action with respect to any transgressions of this Agreement shall not be construed as a waiver of either party’s rights to take such affirmative action.

                                             

Site Hosting Service Liability The Client may not hold the Designer in any way responsible for failings of the Site hosting service, of any telecommunications carrier, of the Internet backbone, of any Internet servers, of the Designer or the Designer customers’ computers, or of the Client or the Client’s customer’s Internet software.

Indemnity It is agreed that the Client will indemnify, defend and hold harmless Designer from any claims, liability, damages or expenses including attorney and legal fees that occur as a result of improper use of any and all materials supplied by the Client to the Designer for use on the Site not excluding products shown, referred to, being sold and/or advertised on the Site. It is agreed that the Client holds sole liability with regards to the safety and truth of the services and/or products being sold or represented by the Site. The Client represents and warrants that it has obtained, at it’s sole cost and expenses all rights, grants, assignments, conveyances, licenses, privileges, permissions and authorizations necessary or incidental to any printed, visual, audio materials supplied by the Client for incorporation in the Site. It is agreed the Client may not sue or bring any legal actions against the Designer after the Designer has received the total amount from the Client as defined in this contract. DISCLAIMER: THE DESIGNER IS NOT ASSERTING THE OWNERSHIP OF ANYTHING ON THE CLIENT’S SITE. THE DESIGNER’S WORK IS “AS IS”. THE DESIGNER CANNOT GUARANTEE THE SITE WILL GENERATE BUSINESS OR GET ANY NUMBER OF “HITS” OR VISITORS TO THE SITE. THE DESIGNER IS NOT LEGALLY OR OTHERWISE RESPONSIBLE FOR THE SITE IF IT VIOLATES OR DOES NOT COMPLY WITH ANY UNITED STATES OR INTERNATIONAL LAWS, PROTECTION ACTS, COPYRIGHT LAWS, TRADEMARK LAWS, INTERNET LAWS, WORLD WIDE WEB LAWS OR FCC LAWS. THE DESIGNER IS NOT RESPONSIBLE FOR WHAT THE CLIENT DOES WITH ANY INFORMATION COLLECTED FROM THE SITE. THE DESIGNER IS NOT RESPONSIBLE FOR ANY TRADEMARK INFRINGEMENTS CONTAINED IN “KEYWORDS” OR “META” TAGS. IN NO EVENT SHALL DESIGNER BE LIABLE FOR ANY CONSEQUENTIAL OR INCIDENTAL DAMAGES OF ANY KIND WHAT SO EVER.

JPHein Consulting INDEPENDENT CONTRACTOR AGREEMENT

This Agreement is entered into as of the [ ] day of [ ], 200[ ], between JPHein Consulting (“the Company”) and [service provider’s name] (“the Contractor”).

1.Independent Contractor. Subject to the terms and conditions of this Agreement, the Company hereby engages the Contractor as an independent contractor to perform the services set forth herein, and the Contractor hereby accepts such engagement.

2.Duties, Term, and Compensation. The Contractor’s duties, term of engagement, compensation and provisions for payment thereof shall be as set forth in the estimate previously provided to the Company by the Contractor and which is attached as Exhibit A, which may be amended in writing from time to time, or supplemented with subsequent estimates for services to be rendered by the Contractor and agreed to by the Company, and which collectively are hereby incorporated by reference.

3.Expenses. During the term of this Agreement, the Contractor shall bill and the Company shall reimburse [him or her] for all reasonable and approved out-of-pocket expenses which are incurred in connection with the performance of the duties hereunder. Notwithstanding the foregoing, expenses for the time spend by Consultant in traveling to and from Company facilities shall not be reimbursable.

4.Written Reports. The Company may request that project plans, progress reports and a final results report be provided by Consultant on a monthly basis. A final results report shall be due at the conclusion of the project and shall be submitted to the Company in a confidential written report at such time. The results report shall be in such form and setting forth such information and data as is reasonably requested by the Company.

5.Inventions. Any and all inventions, discoveries, developments and innovations conceived by the Contractor during this engagement relative to the duties under this Agreement shall be the exclusive property of the Company; and the Contractor hereby assigns all right, title, and interest in the same to the Company. Any and all inventions, discoveries, developments and innovations conceived by the Contractor prior to the term of this Agreement and utilized by [him or her] in rendering duties to the Company are hereby licensed to the Company for use in its operations and for an infinite duration. This license is non-exclusive, and may be assigned without the Contractor’s prior written approval by the Company to a wholly-owned subsidiary of the Company.

6.Confidentiality. The Contractor acknowledges that during the engagement [he or she] will have access to and become acquainted with various trade secrets, inventions, innovations, processes, information, records and specifications owned or licensed by the Company and/or used by the Company in connection with the operation of its business including, without limitation, the Company’s business and product processes, methods, customer lists, accounts and procedures. The Contractor agrees that [he or she] will not disclose any of the aforesaid, directly or indirectly, or use any of them in any manner, either during the term of this Agreement or at any time thereafter, except as required in the course of this engagement with the Company. All files, records, documents, blueprints, specifications, information, letters, notes, media lists, original artwork/creative, notebooks, and similar items relating to the business of the Company, whether prepared by the Contractor or otherwise coming into [his or her] possession, shall remain the exclusive property of the Company. The Contractor shall not retain any copies of the foregoing without the Company’s prior written permission. Upon the expiration or earlier termination of this Agreement, or whenever requested by the Company, the Contractor shall immediately deliver to the Company all such files, records, documents, specifications, information, and other items in [his or her] possession or under [his or her] control. The Contractor further agrees that [he or she] will not disclose [his or her] retention as an independent contractor or the terms of this Agreement to any person without the prior written consent of the Company and shall at all times preserve the confidential nature of [his or her] relationship to the Company and of the services hereunder.

7.Conflicts of Interest; Non-hire Provision. The Contractor represents that [he or she] is free to enter into this Agreement, and that this engagement does not violate the terms of any agreement between the Contractor and any third party. Further, the Contractor, in rendering [his or her] duties shall not utilize any invention, discovery, development, improvement, innovation, or trade secret in which [he or she] does not have a proprietary interest. During the term of this agreement, the Contractor shall devote as much of [his or her] productive time, energy and abilities to the performance of [his or her] duties hereunder as is necessary to perform the required duties in a timely and productive manner. The Contractor is expressly free to perform services for other parties while performing services for the Company. For a period of six months following any termination, the Contractor shall not, directly or indirectly hire, solicit, or encourage to leave the Company’s employment, any employee, consultant, or contractor of the Company or hire any such employee, consultant, or contractor who has left the Company’s employment or contractual engagement within one year of such employment or engagement.

8.Right to Injunction. The parties hereto acknowledge that the services to be rendered by the Contractor under this Agreement and the rights and privileges granted to the Company under the Agreement are of a special, unique, unusual, and extraordinary character which gives them a peculiar value, the loss of which cannot be reasonably or adequately compensated by damages in any action at law, and the breach by the Contractor of any of the provisions of this Agreement will cause the Company irreparable injury and damage. The Contractor expressly agrees that the Company shall be entitled to injunctive and other equitable relief in the event of, or to prevent, a breach of any provision of this Agreement by the Contractor. Resort to such equitable relief, however, shall not be construed to be a waiver of any other rights or remedies that the Company may have for damages or otherwise. The various rights and remedies of the Company under this Agreement or otherwise shall be construed to be cumulative, and no one of the them shall be exclusive of any other or of any right or remedy allowed by law.

9.Merger. This Agreement shall not be terminated by the merger or consolidation of the Company into or with any other entity.

10.Termination. The Company may terminate this Agreement at any time by 10 working days’ written notice to the Contractor. In addition, if the Contractor is convicted of any crime or offense, fails or refuses to comply with the written policies or reasonable directive of the Company, is guilty of serious misconduct in connection with performance hereunder, or materially breaches provisions of this Agreement, the Company at any time may terminate the engagement of the Contractor immediately and without prior written notice to the Contractor.

11.Independent Contractor. This Agreement shall not render the Contractor an employee, partner, agent of, or joint venturer with the Company for any purpose. The Contractor is and will remain an independent contractor in [his or her] relationship to the Company. The Company shall not be responsible for withholding taxes with respect to the Contractor’s compensation hereunder. The Contractor shall have no claim against the Company hereunder or otherwise for vacation pay, sick leave, retirement benefits, social security, worker’s compensation, health or disability benefits, unemployment insurance benefits, or employee benefits of any kind.

12.Insurance. The Contractor will carry liability insurance (including malpractice insurance, if warranted) relative to any service that [he or she] performs for the Company.

13.Successors and Assigns. All of the provisions of this Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, if any, successors, and assigns.

14.Choice of Law. The laws of the state of California shall govern the validity of this Agreement, the construction of its terms and the interpretation of the rights and duties of the parties hereto.

15.Arbitration. Any controversies arising out of the terms of this Agreement or its interpretation shall be settled in [ ] in accordance with the rules of the American Arbitration Association, and the judgment upon award may be entered in any court having jurisdiction thereof.

16.Headings. Section headings are not to be considered a part of this Agreement and are not intended to be a full and accurate description of the contents hereof.

19.Notices. Any and all notices, demands, or other communications required or desired to be given hereunder by any party shall be in writing and shall be validly given or made to another party if personally served, or if deposited in the United States mail, certified or registered, postage prepaid, return receipt requested. If such notice or demand is served personally, notice shall be deemed constructively made at the time of such personal service. If such notice, demand or other communication is given by mail, such notice shall be conclusively deemed given five days after deposit thereof in the United States mail addressed to the party to whom such notice, demand or other communication is to be given as follows:

20.Modification or Amendment. No amendment, change or modification of this Agreement shall be valid unless in writing signed by the parties hereto.

21.Entire Understanding. This document and any exhibit attached constitute the entire understanding and agreement of the parties, and any and all prior agreements, understandings, and representations are hereby terminated and canceled in their entirety and are of no further force and effect.

22.Unenforceability of Provisions. If any provision of this Agreement, or any portion thereof, is held to be invalid and unenforceable, then the remainder of this Agreement shall nevertheless remain in full force and effect.
